The group is deliberately structured so that each vertical stands on its own. Separate vehicles, separate data rooms, separate capital structures, and no cross-collateralization between them — put in place before capital was sought rather than retrofitted afterwards.

Ownership

A promoter platform with two equal shareholders.

InfraNovaGlobal is held in equal parts by Visionaries4Success and Land Energy Solutions. The group originates and structures infrastructure opportunities, and holds interests in the vertical vehicles that deliver them.

InfraMoyaGlobal is a 50/50 joint venture.

The digital vertical is held in equal parts by InfraNovaGlobal and Moya Networks. The two shareholders contribute different things, which is the point of the structure.

Moya Networks

Founded in 2009 with operating companies across Southern and East Africa. Holds capacity rights on multiple submarine cable systems and African terrestrial fiber routes, and brings submarine consortium standing and carrier relationships.

Management control of InfraMoyaGlobal sits with its Group President and Chief Executive Officer. Ownership of InfraNovaGlobal itself is held equally by Visionaries4Success and Land Energy Solutions.

This is the single most important structural feature of the group, and it is deliberate. An investor in one vertical is not exposed to the risks, obligations or performance of another. Each vehicle raises into its own structure, against its own assets and cash flows.
